1. Agreement
These Terms govern your access to memeclip.app, the Memeclip community, APIs, and iOS application (the “Service”). By using the Service or creating an account, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility and accounts
You must be at least 16 and legally able to enter this agreement. You are responsible for activity through your account and for protecting access to your Google account and linked devices. Provide accurate information, use a lawful nickname and avatar, and notify us if you suspect unauthorized access. One person may not use multiple accounts to manipulate likes, ranks, reports, or moderation.
3. Uploads and ownership
You retain ownership of content you upload. You represent that you own it or have all permissions, releases, licenses, and other rights needed to upload, edit, publish, and share it. Community clips must be no longer than 30 seconds and may be transcoded, resized, compressed, thumbnailed, or otherwise technically adapted for consistent playback. New uploads are private by default. They are considered for public distribution only when you request publication and Memeclip approves them after review; you can later hide or delete them from your profile.
By uploading content, you grant Memeclip a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transcode, display, distribute, make available, and promote that content through the Service, including in feeds, search, rankings, previews, and links. Public display and promotion begin only after your publication request is approved. This license lasts while the content is hosted and for a reasonable backup period after deletion. It does not transfer your ownership to Memeclip.
4. Prohibited content and conduct
You may not upload or use the Service for content or conduct that:
- infringes copyright, trademark, privacy, publicity, contractual, or other rights;
- is illegal, sexually exploitative, hateful, threatening, harassing, defamatory, or promotes violence or self-harm;
- reveals another person’s sensitive personal information without permission;
- contains malware, deceptive links, spam, scams, or manipulated engagement;
- impersonates others or falsely suggests endorsement;
- attempts to bypass security, access restrictions, upload limits, moderation, or rate limits;
- scrapes, bulk-downloads, resells, or redistributes the catalog except through authorized features or written permission.
5. Moderation and reports
Signed-in users may report clips. We may review, hide, restrict, demonetize if applicable, or permanently delete content and may suspend accounts when reasonably necessary to enforce these Terms, protect users, comply with law, or investigate a report. Hiding content during review is not a final determination. We are not obligated to host any particular clip or to resolve every dispute in a particular way.
6. Copyright and other rights complaints
If you believe content infringes your rights, email [email protected] with your contact details, identification of the protected work or right, the exact Memeclip URL, an explanation of the issue, and a statement that your report is accurate and made in good faith. We may request additional verification and may share the substance of a complaint with the uploader where lawful.
7. Likes, ranks, and community metrics
Likes, views, ranks, badges, and leaderboard positions are community features with no monetary value or guaranteed permanence. We may recalculate, remove, or disregard activity that appears fraudulent, automated, coordinated, or abusive. We may change ranking formulas to improve quality and fairness.
8. Music and third-party services
The Service may link to or integrate with Google, Apple, Epidemic Sound, Vlipsy, and other third parties. Their services and content are governed by their own terms. Availability of a sound or clip inside Memeclip does not automatically grant rights to publish it everywhere. You are responsible for ensuring your intended use is covered by the relevant provider license, subscription, territory, platform, and commercial-use rules.
8A. Free access, Pro rewards, and subscriptions
The base editor is free and does not include the Epidemic Sound catalog. Memeclip Pro may be unlocked through an active paid subscription, an administrator-issued creator reward, or the published 50-upload achievement. Achievement and administrator rewards unlock editor features only and never unlock Epidemic Sound. Epidemic Sound access requires an active paid subscription.
At launch, the intended prices are USD $7.99 per month and USD $49.99 per year; the price shown by Apple at purchase controls and may vary by territory, taxes, and currency. Subscriptions are billed through your Apple ID, renew automatically unless canceled at least 24 hours before the current period ends, and can be managed in Apple account settings. Apple handles billing and refund eligibility under its rules. Losing paid status removes Epidemic Sound access, while Pro may remain available if separately earned or rewarded.
9. Editor, exports, and backups
Editing projects may be stored only on your device. You are responsible for keeping backups of source media and exported work. Rendering, beat detection, automatic adaptation, transitions, and media conversion may produce different results depending on source formats and device capabilities. Review exports before publishing.
10. Feedback
If you submit ideas or feedback, you grant us permission to use them without restriction or compensation, while we continue to treat associated personal data according to the Privacy Policy.
11. Suspension and termination
You may stop using the Service at any time and may request account deletion. We may suspend or terminate access, remove content, or limit features for material or repeated violations, security risk, legal requirements, or discontinuation of the Service. Provisions that by their nature should survive termination—including ownership, licenses already needed for prior operation, disclaimers, and liability limits—will survive.
12. Service availability and disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Memeclip disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation. We do not guarantee that community content is accurate, lawful, suitable, or continuously available. Nothing in these Terms excludes rights or warranties that cannot legally be excluded.
13. Limitation of liability
To the maximum extent permitted by law, Memeclip will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, data, goodwill, content, or business opportunity arising from the Service. Any aggregate liability will be limited to the greater of the amount you paid Memeclip during the preceding 12 months or EUR 50, except where applicable law requires otherwise.
14. Changes and applicable law
We may update these Terms as the Service changes. Material changes will be announced reasonably, and continued use after they take effect constitutes acceptance where permitted by law. These Terms are governed by the laws applicable to the Memeclip operator, without removing mandatory consumer protections available in your country. Before commercial launch, the operator’s legal identity, address, and chosen jurisdiction should be inserted here.
